Lead Counsel

This role is responsible for reviewing, drafting, negotiating, and advising internal groups on procurement contracts, including SaaS and licensing agreements, nondisclosure agreements, master services agreements, facilities agreements, professional services agreements, consulting agreements, staffing agreements, and various other commercial agreements.ResponsibilitiesDraft, review, and negotiate a broad range of commercial agreements, including nondisclosure agreements, master services agreements, facilities agreements, professional services agreements, consulting agreements, software license agreements, implementation and support agreements, staffing agreements, termination letters, and other commercial contracts.Build and sustain positive relationships across a global organization, developing a deep understanding of internal stakeholders' requirements, business plans, and strategic objectives - and applying that knowledge to lead vendor negotiations that drive cost savings and mitigate risk.Ensure compliance across information security, anti-corruption, data protection, and data privacy obligations, including GDPR, CCPA, and other applicable regulatory frameworks.Manage the full contract lifecycle, including drafting, execution, renewals, and terminations - with particular attention to license and support agreement renewals to ensure continuity of coverage and minimize organizational risk.Maintain accurate and complete contract files and records in accordance with corporate policies and procedures governing the procurement of goods and services.Develop and manage vendor relationships aligned with organizational mission and objectives, conducting industry research to inform negotiation strategy and structure commercial arrangements that best serve the business.Knowledge and ExperienceJuris Doctor (J.D.) required.Minimum 12 years of commercial contract negotiation and/or procurement experience, with a demonstrated track record of delivering cost savings and successful vendor negotiations.Experience negotiating IT, facilities, software licensing and support, market data, marketing, and consulting services agreements with major vendors is strongly preferred.Familiarity with ServiceNow and Salesforce/Conga is a plus.Self-starter and team-oriented leader who thrives in a fast-paced, on-demand environment and can manage multiple complex projects simultaneously.Strong customer focus with proven leadership, technical acumen, and written and verbal communication skills; adept at working collaboratively across departments to drive successful outcomes.Well organized and detail oriented, with strong analytical, problem-solving, and conflict resolution capabilities.Intercontinental Exchange, Inc. is an Equal Opportunity Employer.
