Securities & Capital Markets CounselPosition SummaryA leading international law firm is seeking an experienced Securities & Capital Markets Counsel to join its U.S. corporate practice. This role is designed for a senior attorney with substantial experience advising issuers, sponsors, underwriters, investors, and financial institutions on a broad range of securities offerings, capital markets transactions, and ongoing securities law compliance matters.Key ResponsibilitiesLead and manage complex capital markets transactions, including: Registered and exempt debt and equity offeringsRule 144A and Regulation S offeringsPrivate placements and PIPE transactionsHigh-yield and investment-grade debt issuancesStructured finance and hybrid securities transactionsSPAC and de-SPAC related matters, as applicableAdvise public and private company clients on securities law compliance and corporate governance matters.Draft, review, and negotiate offering documents, purchase agreements, underwriting agreements, indentures, disclosure documents, and related transaction materials.Counsel clients regarding: Securities Act and Exchange Act complianceSEC reporting obligationsStock exchange rules and listing standardsDisclosure controls and governance best practicesCoordinate transaction execution with internal teams, opposing counsel, financial advisors, auditors, trustees, and regulatory authorities.Supervise and mentor associates and junior legal staff.Participate in client development initiatives and contribute to the continued expansion of the firm's securities and capital markets platform.Maintain awareness of evolving market developments, regulatory changes, and industry trends affecting capital markets transactions.QualificationsJ.D. from an accredited law school with strong academic credentials.Admission to practice in at least one U.S. jurisdiction; New York admission preferred.Minimum of 7 years of relevant securities and capital markets experience at a nationally or internationally recognized law firm.Demonstrated experience managing sophisticated transactional matters independently.Strong drafting, negotiation, analytical, and communication skills.Experience handling cross-border transactions and working with international clients preferred.Ability to balance multiple matters in a fast-paced environment while maintaining high-quality work product.Commercially minded with strong client relationship skills.Compensation & Benefits$270,000 - $320,000 base Performance-based bonus opportunitiesComprehensive health and wellness benefitsRetirement savings planProfessional development and continuing legal education supportHybrid work flexibility, subject to practice needsOpportunities for international collaboration and cross-office work
