The ideal candidate will be looking to deepen their experience in a fast-moving, collaborative environment where technical excellence and commercial judgment are highly valued.This role offers substantial exposure to headline-making transactions and strategic advisory work, making it an excellent platform for attorneys looking to accelerate their growth in the capital markets space.What You’ll Be DoingLead and execute a wide range of corporate finance transactions, including public and private securities offeringsAdvise on equity offerings, warrants, convertible instruments, and at-the-market (ATM) programsCounsel clients on securities law compliance, disclosure obligations, and ongoing reporting requirementsSupport alternative public market strategies, including de-SPAC transactions, reverse mergers, and direct listingsDraft and negotiate offering documents, registration statements, transactional agreements, and related securities filingsPartner closely with senior attorneys and clients on complex strategic transactions and regulatory mattersWhat We’re Looking For3+ years of capital markets and securities experience with a law firmStrong experience handling securities offerings and broader corporate transactional mattersDeep working knowledge of the Securities Act, Exchange Act, and applicable stock exchange regulationsExceptional drafting, negotiation, and communication skillsAbility to manage multiple active transactions and competing deadlines in a fast-paced practiceJuris Doctor (JD) requiredPrevious experience working in a law firm is requiredAdmission to at least one U.S. state bar (New York preferred)Why Consider This Opportunity?This position offers the opportunity to join a high-performing capital markets platform with a strong pipeline of sophisticated transactional work.
