Senior Counsel-Commercial

Our client, a leading New York based investment firm, is seeking a strong commercial lawyer who will be responsible for providing coverage on commercial contracting, corporate compliance, intellectual property, real estate, and other general corporate matters. ONLY CANDIDATES LOCAL TO THE NEW YORK METRO AREA WILL BE CONSIDERED. Responsibilities for this role include the following:Draft, review and negotiate a wide range of commercial contracts from the routine to the complex, including service, procurement, vendor, license, and confidentiality agreements.Serve as a primary legal point of contact for commercial legal matters across the organization and its affiliates.Manage corporate governance matters for various affiliated entities and ensure ongoing compliance with corporate formalities and governance protocols.Provide strategic legal advice on complex, cross-border commercial initiatives and help evaluate and resolve novel legal questions.Identify and proactively manage legal and regulatory risks, recommending and implementing actionable solutions.Collaborate closely with internal stakeholders, including IT, finance, tax, HR, investments, operations, and business development teams.Applicants must have the following qualifications in order to be considered:Four to seven years of legal experience, major law firm training, with a solid background of representing companies in a full range of commercial transactions.
