We are seeking a Real Estate Counsel with strong expertise in renewable energy development and TE financing transactions to perform project and asset due diligence; support business development transactions; and ensure reporting and compliance obligations are met. You Are: A J.D. looking to join a small and close-knit Legal team dedicated to delivering high quality projects through collaboration, communication, and constant improvementAn avid learner, curious and often self-taught, eager to expand your skill setDeeply interested in participating in the entire development process—from project due diligence to pre-construction, permitting, acquisition, construction, and assist with the financial close after the system reaches PTO.A direct and articulate communicator who strives to build strong relationships with your colleagues based on mutual respect, while helping to better the process, offer commercial guidance where necessary, and help drive new lease options to close with new landowners.A creative attorney with strong business acumen who knows how to navigate cross-functional relationships and solve problemsYou Will: Work closely with the distributed renewable energy project development team on project strategy, contracting and project acquisitionAct as primary liaison with capital markets team and outside counsel to manage real estate deliverables and curative actions required for project finance due diligence and closingsReview, draft and negotiate rooftop and groundmount leases, easements, option agreements, purchase agreements and other project site control documents, and administer site control documents during project development, construction and/or operationReview title commitments, title proformas, title policies and surveys and provide analyses, support and supervision for title curative work required in connection with project development, finance, construction and/or operationProvide real estate support for project finance and M&A transactions, including conducting and responding to due diligence inquiries and drafting, reviewing and managing real estate closing deliverablesProvide general real estate legal support to the project development team for all aspects of project development, including permitting, interconnection and offtake opportunitiesConduct due diligence (research, obtain, compile, prepare, produce and/or review documents, data, permits, environmental, and other real estate-based information), including title documents and/or analysis of UCC searches for project acquisitionIdentify, resolve, and document process roadblocks for project acquisitionWork cross-functionally, communicate clearly with business teams, and take deals across the finish line while minimizing legal riskManage multiple existing contracts during the project development cycleProvide other legal support as neededWhat You Bring to the Team: Juris Doctorate plus Licensed to practice law in at least one state and in good standing4+ years of legal work experience in commercial real estate required; in-house renewable energy experience a plusRenewable energy industry experience requiredStrong fact-finding, drafting, negotiating, writing and research skillsExcellent communication and analytical skills, as well as impeccable attention to detail, strong sense of ownership, and accountabilityExperience managing competing expectations, being nimble, prioritizing effectively, and delivering high-quality, error-free work in a fast-paced environmentStrategic thinking with the ability to identify and manage legal and business risksAbility to work independently with minimal supervisionLeadership acumen and credibility to inspire confidence among business clients in a high- growth businessWhat Catalyze Brings to You: Opportunity to play a significant role in transforming the energy industryGrowth and developmentAn extremely flexible environment where your voice, thoughts, and ideas will be heardExcellent benefits (company-paid and voluntary): Health / Dental / Vision / Life / AD&D / STD / LTD / AFLAC / Pet / Legal / Commuter / 401(k) with Company Match / Unlimited Paid Time Off and more!$135,000 - $170,000 a year About Catalyze Catalyze is a fully integrated developer and Independent Power Producer (IPP) of distributed renewable energy assets.
