Associate Legal Counsel

OverviewWe are seeking a Mid-Level Associate Legal Counsel to support a dynamic, multi-brand platform operating across brand ownership, licensing, joint ventures, and direct-to-consumer channels.This role is designed for a commercially driven attorney who can operate fluidly across both licensor and licensee perspectives, supporting deal-making, structuring, and execution across global markets.Key ResponsibilitiesDeal Structuring & Commercial AgreementsDraft, review, and negotiate a wide range of agreements, including:Licensing (both licensor and licensee-side)Joint ventures, equity partnerships, and IP transactionsDistribution, wholesale, and franchise agreementsE-commerce, digital marketplace, and platform agreementsSupport structuring of key deal terms, including:Royalties, minimum guarantees (MGs), advancesTerritory, channel, and exclusivity frameworksPerformance thresholds, renewal/termination rightsCross-Platform Legal SupportAdvise internal teams across brand management, business development, finance, and creativeProvide legal guidance across product, marketing, digital, and retail initiativesSupport global expansion, including market entry strategies and local compliance considerationsIP, Brand Protection & EnforcementOversee and enforce proper use of intellectual property across partnersManage channel conflict, territorial disputes, and distribution compliancePartner with external counsel on trademarks, enforcement actions, and international IP mattersE-Commerce & Distribution StrategySupport legal frameworks for:Amazon (1P vs. 3P) and preferred third-party operator modelsDirect-to-consumer (DTC) and wholesale channel alignmentOff-price and grey market control strategiesHelp implement licensor-driven governance structures across distribution channelsOperational Infrastructure & GovernanceBuild and maintain scalable legal templates, SOPs, and governance frameworksSupport contract lifecycle management and internal approval processesContribute to the development of a centralized legal playbook across brandsQualificationsJ.D. from an accredited law school; admitted to practice in at least one U.S. jurisdiction (NY preferred)3–6 years of experience at a law firm and/or in-houseStrong background in commercial transactions and contract negotiationExperience with consumer brands, retail, licensing, or IP-driven businessesPreferred ExperienceExperience across both licensor and licensee environmentsFamiliarity with:Royalty structures, MGs, and licensing economicsJoint ventures and IP ownership structuresRetail and e-commerce distribution modelsExposure to international markets and cross-border agreements
