Legal Counsel

Job Description: Draft, review, and negotiate a variety of contracts, including but not limited to SAAS and product agreements, vendor agreements, service contracts, data acquisition and licensing agreements, and non-disclosure agreementsExecute process improvements that provide smoother process flows of contracts from sales through operationsEnsure that contracts comply with company policies and legal requirementsSupport supply chain, sales and various corporate functions in navigating process and procedures of contractingAbility to identify risks and rewards of various supply chain products and servicesAdvise various corporate functions on enforceability, company options and risks related to potential contract disputesPartner with the product development team to draft sales agreements for new productsConduct legal research to support contract negotiations and resolve legal issuesStay updated on relevant laws, regulations, and industry trends that may impact the companyWork closely with internal stakeholders, including procurement, finance, HR, and operations, to provide legal guidance and support on contract-related mattersCommunicate effectively with external parties during negotiations and discussionsAssist in developing and implementing compliance programs and policiesHelp ensure adherence to legal and regulatory requirements across the organizationManage and execute process for resolving basic contract disputes, and unpaid feesAbility to establish a litigation strategy and manage outside counsel through successful end of litigationProvide support for other legal matters as needed, including human resources, litigation support, immigration, licensing, privacy law, employment lawAssist in the preparation of legal documents and filingsProvide legal advice, monitor, and resolve pre-litigation business disputesHelp develop and implement legal and commercial strategiesManage and interface with outside legal counsel on key matters to reduce operational risks and manage litigationRequirements: Juris Doctor (JD) degree from an accredited law schoolAdmission to the bar in any jurisdiction and eligible to practice as in-house counsel in Texas5-7 years of experience in contract drafting and negotiation, preferably in an in-house environmentStrong understanding of contract law and legal principlesConfident drafting independently and an interest in contract review/writingStrong business judgmentStrong interpersonal skills, excellent judgment and well-developed written and verbal communication skills to advise effectively at all levels of the organizationExperience managing litigationExperience with negotiating disputes and settlements prior to involvement of outside counselDetail-oriented with strong analytical and problem-solving abilitiesAbility to work collaboratively in a fast-paced environment and manage multiple prioritiesExperience in risk managementPrior experience managing outside counsel/litigationCommitment to the highest ethical and professional standards; personal and professional integrity beyond reproach; unquestioned discretion in maintaining confidentialitySeasoned and balanced business judgment with a strong understanding of financial risk assessment/managementBenefits: Competitive salary and benefits packageOpportunities for professional development and growthA collaborative and inclusive work environment
