Job Description Employee Benefits & Executive Compensation Associate AttorneyLocations: San Francisco, Palo Alto, Los Angeles, or San Diego, CaliforniaDirect Counsel is seeking a mid-to-senior level Associate Attorney to join the Employee Benefits and Executive Compensation practice at a global Am Law firm. This role offers the opportunity to work on sophisticated compensation and benefits matters in a collaborative environment that supports meaningful client work and long-term professional development.The ideal candidate will have a strong interest in executive compensation and employee benefits law and experience advising clients on complex compensation arrangements and benefit plans, particularly in connection with corporate transactions.ResponsibilitiesAdvise clients on executive compensation and employee benefits matters, including equity incentive plans, executive employment agreements, and retention arrangementsAssist with the employee benefits and compensation aspects of mergers, acquisitions, and other corporate transactionsDraft and review equity plans, compensation arrangements, executive agreements, and employee benefit plan documentsConduct legal research and analysis related to ERISA, tax, and securities law issues impacting compensation and benefits structuresPrepare written materials including memoranda, agreements, and client communicationsCollaborate with attorneys across practice groups on transactional matters involving compensation and benefits componentsManage multiple assignments while maintaining strong attention to detail and organizational disciplineParticipate in client communications and help maintain strong client relationshipsQualificationsMinimum 5 years of relevant legal experience in employee benefits and executive compensation mattersExperience advising on equity compensation plans, executive compensation arrangements, retirement and welfare plans, and benefits issues in M&A transactionsStrong analytical, research, and writing skillsExcellent organizational skills and attention to detailAbility to manage multiple projects simultaneously and work both independently and collaborativelyDemonstrated sound business judgment and strong communication skillsJ.D. from an accredited law school with strong academic credentialsActive admission to practice in California (or eligibility to waive in)Compensation & BenefitsThis position offers a competitive compensation package with a salary range of approximately $365,000–$435,000, depending on geographic market, experience, and overall qualifications.
