Corporate Attorney
DescriptionAbout the PositionWarner Norcross + Judd LLP is seeking an experienced Corporate Attorney to join our Business Practice Group. This role focuses on ongoing corporate counseling, commercial transactions, and corporate governance matters. The ideal candidate will have significant experience advising clients on day-to-day business matters, drafting and negotiating complex commercial agreements, and a thorough knowledge of good corporate governance practices.Key ResponsibilitiesAdvise clients on a wide range of general corporate matters, including entity formation, governance, and operational issuesDraft, review, and negotiate commercial agreements such as vendor, customer, services, licensing, and confidentiality agreementsProvide clear and practical legal advice to business and in-house legal teams regarding operational and contractual matters, including identifying legal risks and delivering pragmatic, business-focused solutionsSupport financing and internal restructuring transactionsMaintain corporate records and assist with ongoing corporate compliancePartner with clients as a trusted advisor on ongoing legal needsCollaborate with attorneys across practice groups, including tax, labor and employment, and real estateQualificationsAbout YouAt least four years of substantive corporate or business law experience at a law firm or in an in-house legal departmentSignificant experience in commercial contract drafting, review, and negotiationStrong exposure to general corporate counseling, including corporate governance and general corporate mattersExperience working directly with clients and managing multiple matters independentlyExcellent drafting, negotiation, and analytical skillsAbility to translate complex legal concepts into practical, business focused adviceExceptional organizational skills, responsiveness, and ability to manage multiple prioritiesA collaborative mindset and the ability to work effectively in a team-oriented environmentJ.D. from an accredited law school and admission in good standing in at least one U.S. jurisdictionAdmission to the Michigan Bar, or the ability to become licensed in MichiganPhysical RequirementsThis position requires the ability to sit or stand for extended periods and occasionally lift up to 25 pounds.About WarnerBy providing discerning and proactive legal advice, Warner Norcross + Judd builds a better partnership with its clients.Warner is a full-service corporate law firm with220+attorneys practicing in nine offices throughout Michigan: Bloomfield Hills, Detroit, Grand Rapids, Holland, Kalamazoo, Lansing, Macomb, Midland and Muskegon.At Warner, we combine deep legal knowledge with a collaborative culture that values relationships and long-term client success.
