General Counsel

BIOFermTM is seeking a part-time or consulting General Counsel with experience in EPC (Engineering, Procurement, and Construction) project environments. This role will provide strategic legal guidance across contracts, risk management, compliance, governance, and executive advising while partnering closely with project, technical, sales, and leadership teams. The ideal candidate brings sound judgment, excellent communication skills, and the ability to support a dynamic renewable-energy business with practical, business-minded legal solutions.BIOFerm is a Wisconsin-based renewable energy company providing turnkey anaerobic digestion and gas upgrading facilities. Committed to sustainable and economical organic waste diversion, BIOFerm's digester and gas processing technology harnesses biogas from fermenting organics-food waste, manure, biosolids, etc.-and converts it into valuable green energy, vehicle fuel, heat and organic products. Enabling biogas producers to profitably upgrade biogas to renewable natural gas (RNG).Key Requirements:Must have a law degree from a recognized university and be admitted to a recognized barMust have 5+ years of experience gained in law firm and/or in-house setting5+ years of construction law experience preferredStrong interpersonal and presentation skills, along with the ability to communicate effectively with others at all levels of the organizationStrong negotiating skills with both legal and financial/commercial issuesAbility to establish and maintain strong relationships within the organization and across all businessesAbility to work independently while being able to contribute successfully to cross-functional teamsProven ability to provide competent legal advice and counsel on a wide range of legal and policy issuesDesire and determination to become a subject-matter expert over time to support the companyExcellent organizational skills, ability to manage multiple projects at once, follow through, and meet deadlinesProficient with Microsoft Office applicationsMust be authorized to work for any company in the United States. Must not require sponsorship, or continued sponsorship to work for any company in the United StatesResponsibilities:Structuring, drafting, and negotiating a wide variety of complex commercial agreements on behalf of the company to meet legal objectivesDeveloping and improving templates for routine contractsOffering counsel on a variety of legal issues to promote and protect the company's mattersAdvising executives within the companyWorking alongside other departments within the company and external partiesProviding contract training to appropriate employeesAdvising on contract status, legal risks, and the legal liabilities associated with different dealsMaintaining company legal directory and document controlResearching and anticipating unique legal issues that could impact the companyDeveloping methods, approaches, and evaluation criteria for advising the business on level of riskIdentifying proactive solutions that will eliminate or mitigate risksEstablishing a proactive, engaged partnership with company executives to prevent or reduce the unnecessary escalation of issuesResolving issues that arise in existing commercial relationshipsDeveloping and leading internal audits and corporate compliance initiativesReviewing advertising and marketing materials to ensure that they are legally and company compliantManaging the Company's IP portfolios and ensuring legal compliance (including trademarks, patents, copyrights, and trade secrets)Keeping abreast of legislative changesProviding training to the company on relevant legal topicsAttending industry policy groups and being visible at renewable legislative sessionsHandling outreach on government affairsRepresenting board in environmental, social, and sustainability issuesBasing decision making process on ethics and integrityPerforming other legal responsibilities as assignedTo be considered for this position, submit your cover letter with salary requirements and resume.
