Corporate Lawyer

Moses Singer is seeking a general corporate lawyer with 3+ years of experience in one of more of the areas of mergers and acquisitions, venture capital transactions, and/or general corporate matters.Key ResponsibilitiesAdvise clients on domestic and cross-border mergers, acquisitions, divestitures, and strategic transactionsRepresent companies and investors in venture capital and growth equity financings, including seed, Series A–C, and later-stage roundsDraft, review, and negotiate transaction documents, including:Stock and asset purchase agreementsShareholders’ agreementsInvestment, subscription, and financing documentsDisclosure schedules and ancillary closing documentsProvide general corporate counsel, including corporate governance, entity formation, and ongoing complianceManage and coordinate due diligence processes and transaction closingsSupport clients throughout the full transaction lifecycle, from structuring through closing and post-closing mattersCapital Markets experience is a plus.Resumes and cover letters can be sent to The anticipated compensation range for this position is $180,000 - $225,000. The salary offered to a successful candidate will be dependent on several factors, including, but not limited to, job experience, familiarity with and experience in the legal industry, skillset and other requirements as set forth on the job description.
