Job title: Fractional US Commercial Counsel / Fractional GCLocation: Remote (United States)Contract type: Fractional / Consultancy / Part-time / Ad hocAbout the roleWe’re looking for a pragmatic, commercially minded US-qualified lawyer to support a fast-moving founder-led business group expanding into the United States.This is not a traditional in-house legal role and it is not a fully built-out GC position. It is an opportunity to work closely with an entrepreneurial leadership team as a trusted legal sounding board, helping them manage risk sensibly while they scale.The immediate focus is supporting a Delaware-incorporated US business operating in the software / operational technology space, with broader scope across a small group of ambitious businesses over time.This role will begin on a light, ad hoc basis but there is genuine potential for it to grow as the business gains traction.What you’ll be doingYou’ll act as a flexible external legal partner, helping with matters such as:Reviewing and advising on US commercial contractsSpotting legal and commercial risk in customer and supplier arrangementsAdvising on governing law, liability, indemnities, limitation clauses and contract structureSupporting a Delaware-incorporated business as it starts contracting in the USHelping us understand where we may need state-specific specialist adviceSense-checking product, platform and operational riskProviding practical red-pen review rather than academic memosJoining ad hoc calls when useful to help the business move quickly but sensiblyWhat we’re looking forWe’d like to hear from lawyers who are:US-qualifiedExperienced in commercial contractingComfortable supporting startups, scaleups or founder-led businessesPragmatic, responsive and able to work with a light-touch briefConfident advising on risk without overcomplicating mattersFamiliar with technology, SaaS, platforms or operational businessesHappy operating in a fractional / consultancy / portfolio capacityEspecially helpful if you have experience with:Delaware-incorporated companiesEarly-stage or scaling businesses selling into multiple US statesEnterprise customer contractsProduct / platform / liability allocation issuesWorking with UK-based founders or international teamsHow the role will workInitially very light-touch, potentially around 1-3 hours per weekAd hoc support, with occasional bursts around contracts, board activity or specific issuesFlexible consultancy arrangementRemoteStrong preference for someone already used to working with multiple clients / portfolio businessesWhy this could be interestingYou’ll be joining at an early stage, helping shape the legal foundations of a business with real commercial ambition in the US.We are looking for someone who enjoys helping founders build, not just someone who spots problems.
