Contracts Counsel

We are seeking a Contracts Counsel to serve as a critical member of the Risk and External Affairs team, reporting directly to the Chief Legal and Risk Officer. This role is responsible for legal review, drafting, and negotiation of contracts to protect the organization's interests while supporting business growth objectives. Some of our favorites being Pedal the Cause, KIDstruction, Big Brothers Big Sisters and more!Key ResponsibilitiesContract Analysis, Review and NegotiationDraft, review, and negotiate construction contracts, subcontracts, and related agreementsProvide legal analysis of contractual risks including liability exposure, payment terms, insurance requirements, and performance obligationsLead contract redlining and negotiations with customers, subcontractors, and partnersAssess indemnification clauses, limitation of liability provisions, and dispute resolution mechanismsEnsure contract language aligns with company standards, legal requirements, and risk management policiesCollaborate with external counsel on complex or high-risk matters as neededLegal Risk Management and AdvisoryIdentify, assess, and advise on legal and commercial risks associated with contracts and projectsRecommend risk mitigation strategies that balance legal protection with business objectivesSupport high-risk project reviews and mitigation strategiesAdvise project teams on contractual rights, obligations, and dispute avoidance strategiesAssist with claims strategy, notices, and dispute-related documentationStakeholder CollaborationWork closely with preconstruction, project management, and operations teams during contract negotiationsProvide practical legal guidance to both technical and non-technical stakeholdersSupport the CLRO in developing legal and contract risk management policiesCollaborate with insurance and external legal teams to ensure proper risk transfer mechanismsProcess Improvement and TrainingDevelop and maintain standard contract templates, playbooks, and negotiation guidelinesCreate and refine contract review processes and workflows to improve efficiency and consistencySupport development of company standard terms and preferred contract languageContribute to training programs for project managers on contract interpretation, risk identification, and legal best practicesMonitor legal and industry trends impacting construction contracts and risk allocationModeling Our GuaranteesAs a member of the Risk and External Affairs team, the Contracts Counsel exemplifies our organizational guarantees through:Lessons Learned: Applies legal analysis and post-project insights to continuously improve contract strategies and outcomes.
