This is not an entry-level rotation—we are looking for a dealmaker with verified, hands-on transactional experience who can step into active engagements and deliver immediate impact.In this role, you will serve as a key member of multiple engagement teams, partnering directly with Partners and Senior Managing Directors to execute complex buy-side and sell-side transactions for private equity sponsors and strategic corporate acquirers.Important: We require a CPA with a minimum of 3 years of specific, verifiable transaction advisory experience (deal structuring, due diligence, quality of earnings, financial modeling). General tax compliance experience alone does not meet this threshold.CORE RESPONSIBILITIESDeal Execution & Due DiligenceConduct comprehensive Quality of Earnings (QoE) analyses for both buy-side and sell-side engagements, assessing the target’s financial health, earnings sustainability, and working capital normalizationPerform rigorous financial and tax due diligence, identifying risks, opportunities, and value drivers that inform deal pricing and negotiation strategyLead and manage due diligence calls with clients—preparing agendas, asking probing and fact-finding questions, and driving conversations with minimal oversight from senior leadershipReview, assess, and advise clients on tax computations within their financial models and projections for the transactionFinancial Modeling & ValuationBuild and maintain detailed EBITDA models, including add-back adjustments, normalization schedules, and sensitivity analysesDevelop financial models used in valuation, deal structuring, and negotiation support across a range of middle-market transactionsAnalyze and quantify the tax data underpinning financial projections, ensuring accuracy and strategic alignment for the transactionDeal Structuring & Tax StrategyStructure transactions to optimize tax outcomes for acquisitions, dispositions, and corporate restructuringsIdentify and analyze tax risks and opportunities, advising both strategic and financial buyers/sellers on alternative strategiesAssist in the review and analysis of tax aspects within merger and acquisition agreements; draft tax opinion letters and technical memorandaProvide post-acquisition tax structuring guidance and tax attribute managementClient Deliverables & CommunicationPrepare detailed Confidential Information Memorandums (CIMs), presentations, proposals, and RFP responses that clearly articulate key attributes of client companies and industriesWrite concise, accurate drafts of financial and tax due diligence reports and technical memos requiring minimal revision from senior managementMaintain direct, proactive communication with business owners and stakeholders to ensure delivery of exceptional client service throughout the engagement lifecycleEngagement & Team LeadershipApply advanced project management skills to manage engagements end-to-end—from scoping and data request lists through final deliverables—seeking guidance from senior leadership as neededOrganize and track large volumes of client data across platforms (QuickBooks, NetSuite, Sage, and other accounting systems), ensuring completeness and accuracyReview and edit reports, narratives, and models produced by junior team members; mentor associates in building their analytical and writing capabilitiesREQUIRED QUALIFICATIONSEducationBachelor’s degree in Accounting, Finance CertificationActive Certified Public Accountant (CPA) licenseExperience3+ years of hands-on M&A transactional advisory experience at a mid- to large-size professional services firmDeal ExperienceVerified transaction experience across due diligence, QoE, deal structuring, and/or financial modeling (not general tax compliance)TECHNICAL SKILLS & COMPETENCIESTechnical ProficiencyAdvanced financial modeling, valuation, and analytical capabilities. Deep proficiency in the Microsoft Office Suite (Excel, PowerPoint, Word) and comfort navigating client accounting platforms such as QuickBooks, NetSuite, and Sage in a read-only due diligence capacity.Communication & Client ManagementExceptional written and verbal communication skills. Proven ability to draft professional deliverables—CIMs, due diligence reports, technical memos, and presentations—with clarity, accuracy, and minimal revision. Strong interpersonal skills with the ability to build trusted relationships with business owners, private equity sponsors, and corporate clients.Project LeadershipDemonstrated ability to manage multiple concurrent engagements from inception to close.
