Junior Capital Markets Associate
Our client is a leading international law firm with a highly regarded Capital Markets practice in New York. The firm advises corporate issuers and underwriters on sophisticated U.S. and cross-border securities transactions, including equity and debt offerings, SEC reporting matters, and corporate governance issues.

Responsibilities
Advise issuers and underwriters in a broad range of U.S. capital markets transactions, including IPOs, follow-on offerings, and debt offerings (Rule 144A / Regulation S)
Work on investment-grade and high-yield debt transactions
Draft and review key transactional documentation, including:
Registration statements (S-1, S-3)
Offering memoranda
Underwriting agreements
Purchase agreements
Provide advice on SEC reporting requirements and securities law compliance
Assist clients with stock exchange and corporate governance matters
Collaborate closely with partners and associates in a high-performance, team-oriented environment
Full-time associate position based in New York City

Requirements
2nd–3rd year associate with experience in U.S. capital markets transactions
Experience representing issuers or underwriters
Strong exposure to IPOs, follow-on offerings, and Rule 144A / Reg S debt transactions
Excellent drafting and analytical skills
Strong commercial judgment and attention to detail
Ability to work effectively both independently and as part of a team
Solid academic background from a recognized institution
Member in good standing of the New York Bar (or admission imminent)
