Technical Accounting Manager
LAO Group is seeking a Technical Accounting Manager for their Denver area tech client. The role will be responsible for overseeing the preparation and compliance of quarterly and annual SEC filings, including Forms 10-K, 10-Q, and 8-K, coordinating financial statement preparation, managing technical accounting research for complex transactions, and serving as a key liaison with external auditors. The role will also provide support for mergers and acquisitions, including due diligence and post-acquisition integration.Key ResponsibilitiesPrepare quarterly and annual SEC filings, including Forms 10‑K, 10‑Q, 8‑K, and related disclosures, in compliance with U.S. GAAP, SEC rules, and PCAOB standards.Coordinate the preparation of financial statements, footnotes, and MD&A, including supporting schedules, tie‑outs, and supporting earnings releases and related disclosure materials.Oversee XBRL/iXBRL tagging and ensure compliance with SEC technical requirements.Serve of contact for external auditors on SEC reporting matters.Research, evaluate, and document accounting conclusions for complex or non‑routine transactions, including business combinations, equity‑based compensation, share‑based payment modifications, financial instruments, and new accounting standards.Prepare technical accounting memoranda and support conclusions with appropriate authoritative guidance.Monitor emerging accounting and SEC developments and assess their impact on the Company.Develop, maintain, and update accounting policies and procedures to ensure consistency and compliance.Provide technical accounting support for mergers, acquisitions, divestitures, and strategic investments, including due diligence, purchase accounting, and opening balance sheet preparation.Oversee accounting and disclosure for equity‑based compensation arrangements, including stock options, RSUs, PSUs, and other equity awards.Support the implementation and optimization of financial reporting and disclosure software, including SEC reporting, consolidation, and equity systems.Assist with the design, documentation, and maintenance of SOX‑compliant internal controls over financial reporting.Other duties and projects as assigned.QualificationsBachelor’s degree in Accounting or Finance required; Master’s degree highly preferred.CPA required.5+ years of progressive public accounting experience (Big 4 or national firm) required.Strong experience with SEC reporting and U.S. GAAP.Hands‑on experience with technical accounting matters, equity accounting, and complex transactions.Experience in M&A accounting and post‑acquisition integration.
