Corporate - Private Equity

Job Summary:A leading global law firm, is seeking a highly skilled and self-driven Private Equity Associate to join our dynamic team. As a Private Equity Associate, you can expect to play a crucial role in providing legal counsel and support to our clients engaged in private equity transactions. We are seeking a mid-level associate (3 - 5 years) with a large degree of proven experience representing private equity sponsors in connection with acquisitions, dispositions, and financings. This position will be in our San Francisco office. Duties/Responsibilities:Associates in this position, will be expected to: Draft, review, and negotiate transactional documents, including purchase agreements, shareholder agreements, and financing documents; Conduct thorough due diligence and research on potential investment opportunities; Advise clients on regulatory compliance issues related to private equity transactions; Assist in structuring and forming private equity funds; Provide ongoing guidance on client's corporate transactions, corporate governance matters, and securities regulations; Collaborate with cross-functional teams to ensure the seamless execution of transactions; Lead various parts of transactions independently and manage deal processes; Supervise and support the professional development of junior colleagues; and Monitor industry trends, legal developments, and best practices in private equity law. Required Skills/Abilities:Juris Doctor degree from an accredited law school. Admission in good standing to practice law in the state of California. Three to five years of legal experience working on private equity transactions, preferably at a large law firm. Experience representing private equity and strategic investors. Extensive understanding of corporate governance and securities compliance in private equity deals. Practical experience with and familiarity with legal AI tools and platforms to efficiently handle corporate transactions. Well-versed in legal writing, negotiating terms and performing detailed analyses. Able to self-manage priorities and work effectively in a fast-paced, deadline-driven environment.
