C&I Lending Transactional Finance Attorney
OVERVIEWWe are seeking an experienced C&I Finance Attorney with 4 or more years of experience in commercial and industrial transactions, asset-based lending, leasing, and commercial finance. This role offers the opportunity to work on complex deals and provide strategic counsel to a diverse client base. The successful candidate will serve as a primary point of contact for institutional lenders, regional banks, and corporate borrowers, managing complex C&I transactions from initial term sheet to post-closing compliance.KEY RESPONSIBILITIESPrepare and negotiate purchase and sale agreements, commercial leases, easements, and related real property agreementsDraft, review, and negotiate financing documents including term loans, revolving credit facilities, security agreements (UCC filings), guarantees, and intercreditor agreementsDraft, review, and negotiate purchase and sale agreements and joint venture agreementsManage due diligence including title, survey, and lease review, as well as collateral matters for C&I loansAdvise clients on transaction structures, collateral packages, and closing complex dealsSupport leasing matters as neededManage and coordinate all aspects of C&I commercial finance closingsQUALIFICATIONSJuris Doctor (J.D.) with excellent academic credentialsAdmission to the New York and/or New Jersey Bar required; Florida Bar admission a plus4 or more years of transactional and/or commercial finance experience specifically including C&I lendingDeep understanding of the Uniform Commercial Code (UCC), Florida-specific lending statutes, and asset-based lending and cash-flow-based credit facilitiesFamiliarity with UCC Article 9 secured transactions strongly preferredStrong drafting, negotiation, and organizational skillsAbility to work independently, multitask effectively, and collaborate as a team player BenefitsBillable hour incentive program20 vacation days, 1 personal day, unlimited sick time11 paid holidays Medical, Dental, Vision coverage (firm-funded HRA included) 401(k) match Bar registration fees and CLE (PLI) covered by the firm Client referral bonus Email Your Resume In Word ToJames.Story@CyberCoders.comLooking forward to receiving your resume through our website and going over the position with you.
