As Acquisitions Counsel, you will assist with acquisitions, divestitures, joint ventures and other transactions, and engage collaboratively to enable the business as a subject matter expert providing advice and legal counsel.In addition to the substantive parameters listed below, the ideal candidate will be a detail-oriented, collaborative team player with strong initiative, a keen business sense, a driven work ethic, and a high personal standard of accountability. This position requires working at our HQ office in Lexington, KY on a weekly basis. What You'll Be Doing:Working with third parties to negotiate the terms of acquisitionsDrafting and reviewing letters of intent, confidentiality agreements, asset purchase agreements, disclosure schedules, and related agreementsConducting due diligenceCoordinating transaction closingsAssess and advise on risk and alignment with the company's long-term business objectivesFacilitating processes and procedures to optimize productivity and keep the team organizedSupporting the integration of acquired businessesCollaborating with subject matter experts and other departmentsMonitor legal developments and emerging risks in M&A and antitrust law to proactively advise internal stakeholdersAssist with other special projects as necessaryWhat You'll NeedUS state bar active member in good standingLaw degree from an accredited universityMinimum 3 years of experience practicing law, with at least 3 years in a national or regional law firmDemonstrated expertise in the M&A process from transaction structuring to post-closing issuesFamiliarity with commercial leases and commercial/corporate lawExcellent drafting, negotiation, analytical and communication skillsAbility to thrive in a high energy, fast-paced environmentProactive and resourceful in seeking out and finding accurate and relevant informationOrganized and detail-oriented while juggling competing prioritiesSolution-oriented mentality and the ability to make risk-based judgementsTeam playerMust be authorized to work in the U.S.We Take Care of the WHOLE YouHealth insurance plans (medical, dental, vision)HSA and flexible spending accounts401(k)Incentive opportunity*Life insuranceShort and long-term disability insurancePaid vacation and holidays*Employee Assistance ProgramValvoline Instant Oil Change discountsTuition reimbursement*Adoption assistance**Terms and conditions apply, and benefits may differ depending on position.
