Our Firm is headquartered in Tysons, VA and we offer a full range of services in four practice areas: Corporate + Transactional Government Contracts International Trade Litigation + Investigations Fluet is seeking a mid-level or senior Associate to join its established Corporate and Transactional Practice. The practice represents private equity funds, investors, and lenders in mergers and acquisitions, venture and equity investments, and debt transactions. In addition, Fluet represents and advises companies of all types, particularly those involved in software-as-a-service, aerospace, defense, intelligence and dual-use technologies. Ideal candidates should have at least three years of corporate or transactional experience in a law firm dealing with mergers and acquisitions, venture capital, and/or bank or private placement lending experience. Candidates with experience and familiarity with issues dealing with federal government contractors will be at an advantage. This is a partnership-track position that provides the opportunity to take on significant responsibility in leading deals and transactions and managing associates. We are seeking motivated, capable candidates with a demonstrated history of taking initiative in leading deals through closing, providing actionable advice, and developing practical solutions to clients’ problems. Candidates should have excellent academic credentials and references, as well as strong written and oral communication skills. This is an excellent opportunity to work closely with a rapidly growing team of experienced practitioners on sophisticated matters that are more typically handled by Am Law 100 firms. The position is eligible for hybrid work. The expectation would be for at least two days in our Tysons, VA office. This is a hybrid position. Our annual billable hour requirement is 1,600 hours. Qualifications Minimum 3+ years (5+ years preferred) of relevant corporate/transactional experience Experience with mergers and acquisitions, venture capital, and/or bank or private placement lending Experience with drafting and negotiating key business contracts and agreements and leading deals and transactions through closing Admission (or qualification for waiver) to Virginia Bar Preferred Qualifications Experience with regulations applicable to government contractors Knowledge of information technology and/or aerospace industry Experience with start-ups and emerging companies Familiarity with intellectual property-centered companies, IP protection and licensing #J-18808-Ljbffr
