Job details:Job Title – Paralegal IILocation – Denver, CO | Austin, TX | Salt Lake City, UT (Hybrid – 3 days/week onsite)Duration – 6+ Months (Will be converted FTE)Pay Range - $35 - $38 per hr. on W2Job Description:Work closely with attorneys and team leads to provide paralegal support on a wide array of complex contracting issues.Draft and negotiate contracts and budgets within guidelines provided by attorneys and clients.Proactively follow up with clients, attorneys and external parties from the time the contracting request is received through resolution/execution to ensure shortest cycle times.Escalate contracting delays and issues to team leads or attorneys as appropriate.Prioritize and follow through on a high volume of client requests.Resolve client requests in a professional and timely manner, escalating as necessary.Understand and comply with all relevant procedures and policies.Role Overview:Large enterprise organization.Previous person in this role was senior and has now retired.Looking for someone with international experience, especially in managing subsidiaries outside the U.S.Key Responsibilities:Corporate paralegal work for subsidiaries outside the U.S.Drafting of:Corporate resolutions.Officer/director resignations.Dividend-related documents.Entity formation documents.Assistance with company agreements.Supporting subsidiary management:Drafting and coordinating corporate governance documentation.Working with local registrars and outside counsel.Managing secretary, banking, and KYC processes.Intercompany process enhancements and internal procedural documentation.Approvals for dividends and governance-related actions.No heavy contract negotiation work.M&A experience is a plus, especially corporate side (comprehensive M&A not required).Coordination with internal legal and M&A teams.Candidate Requirements:5–10 years of relevant experience.Backgrounds acceptable:Law firm, public company, private company.Ideally someone who has handled international subsidiaries documentation (resolutions, board consents, etc.).Must be familiar with international legal entity governance.Especially across Europe, Asia, China, Japan, India.Germany and Switzerland experience preferred.Doesn’t need to be an expert in local laws – will work with in-country lawyers and coordinate documentation.Industry background: Open (tech industry experience is acceptable).Comfortable handling international corporate governance without needing to provide legal advice.Familiarity with international governance processes as described during the intake call is required.Good cultural and personality fit with the team is critical.Looking for candidates who’ve "done this type of work before" – no training ramp expected.Team Structure:Part of the Corporate Legal team, which manages corporate governance for subsidiaries.Team includes Senior corporate paralegal, corporate attorneys, M&A team (paralegal role supports but doesn't lead M&A work).Reports into Corporate Governance/Legal function under the public company parent.
