SUMMARYWe are seeking a detail-oriented and experienced Securities and Corporate Governance Paralegal to support our legal team in a broad range of securities law and governance matters. The ideal candidate will have a strong understanding of federal and state securities regulations, experience with SEC filings and board support, and the ability to manage multiple complex transactions simultaneously in a fast-paced environment.KEY RESPONSIBILITIESSecurities Law and SEC ComplianceSupport periodic and current reporting processes (Forms 10-K, 10-Q and 8-K) and proxy statementManage insider trading compliance and assist with the preparation and filing of Section 16 reports (Forms 3, 4, and 5)Monitor filing deadlines and maintain a compliance calendar to ensure timely submissionsTrack changes in SEC rules and regulationsCorporate TransactionsSupport attorneys in public and private securities offeringsAssist with due diligence for mergers, acquisitions, and other capital markets transactionsCorporate Governance & Board SupportMaintain and update corporate governance policies, charters and entity recordsAssist with the preparation of board and committee meeting materials, including agendas, resolutions and minutesSupport planning and logistics for annual meeting of shareholdersGeneral Legal SupportConduct legal research and summarize findings for attorney reviewManage correspondence with the SEC, transfer agents, outside counsel, and other partiesOrganize and maintain legal files and databasesProvide general administrative support as neededQUALIFICATIONSRequiredAssociate's or Bachelor's degree, or Paralegal Certificate from an ABA-approved programMinimum 8-10+ years of paralegal experience in securities law, preferably at a law firm or in-house legal departmentWorking knowledge of the Securities Act of 1933, the Securities Exchange Act of 1934, and related rules and regulationsProficiency with EDGAR, SEC filing platforms and board portalsStrong proficiency in Microsoft Office Suite (Word, Excel, PowerPoint)Exceptional organizational skills and attention to detailAbility to manage competing priorities and meet strict deadlinesPreferredExperience with capital markets transactions, including public offeringsFamiliarity with XBRL/iXBRL tagging and financial document formattingNotary Public certificationJOIN OUR TEAM Do you believe in the power of innovation, collaboration, and transformation?
