Major, Lindsey & Africa's Interim Legal Talent group has an immediate need for an Interim Fund Formation Attorney.Overview: We are seeking an experienced Fund Formation Attorney to assist our client on a part-time basis for the next 4+ months.Company: Law firm.Experience: 10+ years of fund formation experience within a law firm. Securities Act of 1933, the Securities Exchange Act of 1934, the Investment Company Act of 1940 and the Investment Advisers Act of 1940 and related rules and regulations experience is required.Location: Remote.Responsibilities Include:Fund FormationA strong working knowledge of the Securities Act of 1933, the Securities Exchange Act of 1934, the Investment Company Act of 1940 and the Investment Advisers Act of 1940 and related rules and regulationsA strong working knowledge of the Delaware Revised Uniform Limited Partnership and Limited Liability Company ActsA good working knowledge of market terms for private equity and venture capital fundsDraft offering memoranda for investment funds and special purpose vehiclesDraft limited partnership agreements and limited liability company agreementsDraft subscription materialsDraft side lettersAbility to manage closings of investment funds (reviewing subscription materials, managing antimoney laundering and know-your customer questionnaires, diligence materials and signaturesInvestor-Side RepresentationReview limited partnership agreements, limited liability company agreements and other governance documents for investment funds and draft comment memorandaReview and edit side lettersComplete and review investors' subscription materialsRegulatoryPrepare and file Form ADVPrepare and file Form DRespond to correspondence from regulatorsQualifications Include:JD and barred in at least 1 US jurisdiction.At least 10 years of experience handling fund formation work within a law firm.Must have Securities Act of 1933, the Securities Exchange Act of 1934, the Investment Company Act of 1940 and the Investment Advisers Act of 1940 and related rules and regulations experience.All interested and qualified candidates should apply directly with Major, Lindsey & Africa for review and consideration.Major, Lindsey & Africa does not discriminate against applications on the basis of age, sex, race or any other protected characteristics pursuant to applicable state or federal laws.Pay Rate: $100-115/hourJob ID: 245859
