The Attorney will advise clients on corporate governance, compliance, contracts, mergers and acquisitions, and general corporate matters. The ideal candidate will have strong analytical and communication skills, the ability to manage multiple matters, and a proven track record in corporate law. Experience in commercial litigation, finance and banking, commercial bankruptcy, and transactional law is highly desirable.Key ResponsibilitiesAdvise corporate clients on governance, regulatory compliance, and corporate structure decisions.Draft, review, and negotiate a wide range of commercial contracts, including NDAs, supply agreements, shareholder agreements, and purchase agreements.Support and lead M&A, joint ventures, and other corporate transactions, coordinating due diligence and documentation.Counsel clients on compliance with applicable laws and regulations, including securities, antitrust, and corporate reporting obligations.Coordinate with internal and external stakeholders, including outside counsel, auditors, and regulators, to advance client objectives.Manage client relationships, provide clear strategic legal advice, and communicate risks and options effectively.Support litigation strategy when necessary and collaborate with litigation teams on disputes related to corporate matters.Maintain up-to-date knowledge of corporate law developments and industry-specific regulatory changes.QualificationsJuris Doctor (JD) from an accredited law school and admission to the bar in the applicable jurisdiction.Minimum of 3-5 years of experience practicing corporate law; experience at a law firm or in-house legal department preferred.Demonstrated expertise in corporate governance, M&A, contract drafting, and compliance matters.Strong analytical, negotiation, and written and oral communication skills.Ability to manage multiple matters, prioritize tasks, and work both independently and as part of a team.Experience or familiarity (nice-to-have) with commercial litigation, finance and banking law, commercial bankruptcy, and transactional law.High professional ethics, attention to detail, and commitment to delivering practical legal solutions.
