Senior Transactional Paralegal

Grant, Genovese & Baratta, LLP is seeking a senior transactional paralegal who can take ownership of deal execution—not just support it.This role is centered on middle-market M&A transactions (asset and equity deals), with additional exposure to commercial real estate transactions, including acquisitions, leasing, and financing. Typical deals range from $5M–$50M+ in enterprise value.The position offers a high level of responsibility, direct interaction with attorneys and clients, and meaningful involvement in closing transactions from start to finish.What You’ll DoManage M&A closing processes, including preparing and running closing checklists, coordinating deliverables, and driving transactions to completionDraft and coordinate disclosure schedules and ancillary deal documentationAssist with and, where appropriate, draft key transaction documents (e.g., asset purchase agreements, stock purchase agreements, resolutions, and closing certificates)Interface directly with clients, opposing counsel, lenders, escrow, and title companiesOrganize and manage due diligence processes and data roomsPrepare and maintain closing binders and post-closing documentationSupport commercial real estate transactions, including purchase and sale agreements, leases, and financing-related documentationHandle UCC searches and filings in connection with financing transactionsWhat We’re Looking For5–10+ years of experience in a transactional / deal-based paralegal roleDemonstrated experience running or heavily managing M&A closingsStrong familiarity with asset and equity transactionsExperience in a law firm environment (mid-size or larger deal practice preferred)Commercial real estate transaction experience is strongly preferredHighly organized with the ability to manage multiple active deals simultaneouslyStrong communication skills and comfort working directly with clients and deal counterpartiesWhy This RoleDirect involvement in live deal execution—not siloed support workLean, high-functioning team with direct partner accessOpportunity to work across both M&A and commercial real estate transactionsMeaningful responsibility and autonomy in managing transactionsRequirements:ABA Approved Paralegal Certificate5–10+ years of experience in a transactional / deal-based paralegal roleDemonstrated experience running or heavily managing M&A closingsStrong familiarity with asset and equity transactionsPrior law firm experience in a corporate/M&A practicePreferred ExperienceCommercial real estate transaction exposure (PSAs, leasing, or financing)Experience coordinating with lenders, escrow, and title companiesBackground in mid-size or high-volume deal practicesCompensation & BenefitsBase Salary: $110,000 – $135,000, depending on experiencePerformance-based bonus opportunitiesMedical, dental, and vision insurance401(k) planHybrid work flexibilityApplicationWe are actively reviewing candidates and moving quickly.
