VP, Legal Counsel, Corporate & Securities

The VP, Legal Counsel, Corporate & Securities will provide strategic and legal support with respect to corporate governance and securities law compliance, M&As, corporate finance transactions, and other general corporate matters. This role will report to the SVP, Chief Corporate Counsel, and work closely with the Chief Legal Officer and other senior leaders of the company.Key responsibilities:Support Gartner, Inc.'s compliance with U.S. federal securities laws and NYSE listing requirementsLead the preparation and review of all SEC filings (10-K, 10-Q, 8-K, Proxy Statement, Section 16 filings, etc.)Provide securities law advice and compliance guidance for earnings releases, investor materials, management presentations and other communicationsLead the planning of annual meeting of stockholdersSupport the preparation and management of Gartner, Inc. board and committee meeting materialsLead in-house legal support for all M&A transactionsProvide support to Treasury on financings and other capital market transactionsProvide support to HR in executive planning and related matters, and the issuance/documentation of equity awards and administration of equity plansProvide support to the corporate development, investor relations and tax departmentsKey Attributes10+ years of corporate, securities and public company reporting experienceStrong experience advising on reporting and disclosure requirements under SEC and NYSE rulesExperience with M&A transactionsExperience supporting and/or working with boards of directors and senior management a plusStrong organizational skills, flexibility, and ability to thrive in a fast-paced environmentExcellent interpersonal skills and business judgment; an ability to distill complex issues and concisely explain why it mattersJ.D. degree from an ABA accredited law school and membership in at least one U.S. State Bar, with good standing
