Job Description Senior Corporate Counsel Responsibilities & Duties
Demonstrate leadership ability and a high level of project management skills.
Provide legal advice and support on a wide range of corporate issues, including, corporate governance, mergers and acquisitions, government terms and conditions (FAR/DFARS, etc.), cyber security, import and export regulations, etc.
Draft, review, and negotiate various types of contracts and agreements.
Ensure compliance with all applicable laws and regulations.
Assist with corporate litigation and disputes/ working with outside counsel.
Work with company to protect intellectual property and assets.
Advise senior management on legal risks and strategies.
Participate in the development and implementation of company policies and procedures.
Provide training and guidance to other members of the legal team and company employees at all levels of the organization as needed.
Conduct legal research and stay updated on changes in laws and regulations applicable to the company.
Any other projects assigned by Head or Managing Counsel.
Senior Corporate Counsel Skills
Strong negotiation skills.
Excellent analytical and problem-solving abilities.
Ability to manage multiple projects independently and prioritize tasks effectively through completion.
Strong interpersonal and communication skills, and comfort advising executive-level employees.
Experience with intellectual property law is a plus.
Ability to work independently and as part of a team.
Demonstrated ability to provide sound legal advice on matters noted above and willingness to take on new, complex matters and special projects.
Excellent written and verbal communication skills.
Proficiency in legal research and analysis.
Ability to work under pressure and meet tight deadlines.
High ethical standards and professional integrity.
Strong organizational skills and attention to detail.
Senior Corporate Counsel Qualifications
Juris Doctor (JD) degree from an accredited law school.
Active bar membership in good standing to a state bar of the United States.
At least 5 years' relevant legal experience, with in-house corporate counsel experience strongly preferred.
Exposure to U.S. government contracting work and relating regulations (FAR/DFARS, etc.) also strongly preferred.
