Tech Licensing and M&A Support Mid-Level Associate

Overview Goodwin seeks a highly qualified mid-level associate to join our Intellectual Property Transactions & Strategies group. The role focuses on technology and intellectual property licensing, support of M&A and other corporate transactions, and drafting strategic alliance agreements. Responsibilities Provide IP support for M&A and other corporate transactions, including due diligence. Draft and negotiate joint development, collaboration, and other strategic alliance agreements. Prepare technology and intellectual property licenses, services agreements (including SaaS), and distribution agreements (OEM, VAR, reseller). Advise on open source software license terms and IP issues related to artificial intelligence technologies and tools. Qualifications Solid experience in technology and intellectual property licensing and technology transactions. Experience drafting and negotiating joint development, collaboration, and other strategic alliance agreements. Experience with technology and IP license agreements, services agreements (including SaaS), and distribution agreements. Demonstrated experience with open source software license terms and AI-related IP issues. Outstanding academic credentials and comparable law firm experience.
