HireNow Staffing is acting as a direct placement partner for this corporate transactional legal role supporting sophisticated middle-market mergers and acquisitions workPosition OverviewThis role focuses on advising clients through complex middle-market mergers and acquisitions transactions across a variety of industries including technology, entertainment, healthcare, consumer products, and aerospace.The Associate will work closely with experienced partners and lean deal teams, contributing directly to transactional workstreams from early structuring discussions through final closing. The position requires strong technical legal skills, excellent communication abilities, and attention to detail in drafting, negotiation, and transaction execution.Candidates must demonstrate hands-on experience working on real M&A transactions and possess the ability to manage multiple aspects of a deal process within a collaborative legal environment.Core ResponsibilitiesDraft and negotiate key transactional documents including stock purchase agreements (SPAs), asset purchase agreements (APAs), LLC agreements, stockholder agreements, NDAs, and related deal documentationParticipate in transaction structuring discussions, deal negotiations, and client communicationsSupport the coordination of transaction timelines, diligence processes, and deal closing proceduresCollaborate with partners and deal teams on active transactions and strategic client mattersConduct legal analysis related to corporate transactions, governance matters, and deal structuringAssist with the management of transaction documentation and closing deliverablesWork directly with senior attorneys and clients to ensure deal progress remains on scheduleRequired Qualifications (Non-Negotiable)Candidates must meet all of the following requirements to be considered for interview:2-4 years of corporate / M&A legal experienceDemonstrated experience working on actual M&A transactions including drafting and negotiating purchase agreementsPrior experience at a BigLaw firm, strong boutique firm, or reputable midsize firmJuris Doctor (JD) from an ABA-accredited law schoolStrong academic credentialsTop 50 law school: GPA of 3.0+Outside Top 50: GPA of 3.5+Clear understanding of M&A deal structures, processes, and transaction documentationStrong legal writing, research, and analytical skillsExcellent communication and collaboration abilitiesStable employment history with no serial job hoppingCandidates without direct M&A transaction experience will not be considered.Preferred QualificationsThe following qualifications are strongly preferred but not mandatory:Experience representing private equity sponsors or strategic acquirersExposure to middle-market M&A transactions across multiple industriesExperience working on sell-side and buy-side transactionsAbility to independently draft and revise complex transaction documentsPrior experience working within lean deal teams handling sophisticated transactionsWhat Type of Candidate HireNow Staffing Is Recruiting ForHireNow Staffing is seeking high-performing M&A associates with strong technical drafting ability and hands-on transaction experienceThe ideal candidate will demonstrate:Early career experience within high-quality corporate transactional practicesProven experience working directly on complex M&A deals rather than general corporate mattersStrong attention to detail and ability to handle fast-moving transaction timelinesProfessional maturity and ability to interact directly with clients and senior attorneysCollaborative mindset suited to small, high-performing deal teamsConsistent career progression and stable professional track recordCandidates who combine strong academic credentials, direct M&A drafting experience, and the ability to manage transactional workflows will align most closely with this opportunity.Work EnvironmentLocation: West Los Angeles, CAHybrid flexibility available with limited remote workdaysLean deal teams supporting sophisticated middle-market transactionsVisa sponsorship is not available for this role.Compensation & BenefitsBase Salary: $200,000 - $230,000Discretionary bonusesCompetitive compensation structure aligned with the Los Angeles legal marketHireNow Staffing DisclaimerHireNow Staffing is acting as a direct placement partner for this role.
