Corporate Counsel (Minneapolis)

We are partnering with a well‐established, Minneapolis‐based investment management firm focused on private credit and direct lending within a specialized, asset‐backed sector. The firm is seeking a Corporate Counsel to join its in‐house legal team and support a growing direct lending platform.This role offers meaningful exposure to complex, middle‐market lending transactions from diligence through closing and beyond. The team is intentionally looking for a junior to mid‐level attorney (ideally 3–5 years of experience) who is eager to deepen their expertise in private credit and grow within a sophisticated investment environment.Key ResponsibilitiesServe as a core legal partner to the firm's private credit platform, supporting direct lending transactions from early diligence through funding and post‐close mattersPrepare, review, and negotiate a wide range of financing and lending documents, including preliminary deal terms and definitive agreementsAdvise on and manage ongoing loan activity, including amendments, consents, waivers, and other post‐closing modificationsWork closely with internal stakeholders across investment, compliance, and operations to align legal guidance with business objectives and regulatory requirementsOversee and coordinate external counsel, ensuring high‐quality work product, efficiency, and practical deal executionIdentify and assess legal and commercial risk throughout the lifecycle of credit investments, including workouts and restructuring scenariosDraft and negotiate confidentiality and related ancillary agreements in connection with transactions and business initiativesContribute to special projects and evolving legal needs as the platform continues to growRequired QualificationsJuris Doctor (JD) from an accredited law schoolAdmitted to practice in Minnesota3–7 years of relevant legal experience in banking, finance, restructuring, and/or private creditStrong drafting and negotiation skillsFamiliarity with cash‐flow lending structuresUnderstanding of investment strategiesWhy This Opportunity Stands OutTrue in‐house role with direct access to senior investment leadershipHands‐on involvement in sophisticated direct lending transactionsOpportunity to grow alongside a highly experienced investment and legal teamLong‐term professional development focus rather than a plug‐and‐play senior hireCompetitive compensation and benefits within a stable, well‐capitalized organizationImportant Note on the Application ProcessThis search is being conducted on a confidential basis.
