Assistant Legal Counsel

About the Role
The Private Real Estate Attorney will provide legal support across the firm's private real estate investment activities. Reporting to senior legal leadership, the role sits within a lean team responsible for advising on acquisitions, dispositions, joint ventures, financing arrangements, and investment vehicle governance.
This position offers broad exposure to real estate transactions across multiple asset classes as well as the legal and regulatory frameworks applicable to private real estate funds and non-traded REIT structures. The role works closely with investment professionals, senior leadership, compliance teams, and external counsel.
Key Responsibilities
Provide legal support across private real estate transactions, including acquisitions, dispositions, and joint venture investments.
Draft and negotiate transaction documentation including purchase and sale agreements, loan documentation, joint venture agreements, property management agreements, and leasing agreements.
Conduct legal and regulatory due diligence on real estate sponsors, managers, and investment partners.
Advise on governance, regulatory, and statutory frameworks applicable to private real estate investment vehicles, including private funds and non-traded REITs.
Support the structuring and formation of real estate investment vehicles, including private equity funds and closed-end fund structures.
Prepare and review complex investment documentation including fund documents, subscription agreements, prospectus amendments, and credit facility documentation.
Oversee and manage external counsel in relation to transactional matters and regulatory filings.
Partner with internal compliance teams to ensure regulatory obligations relating to the private investment platform are met.
Provide legal guidance to senior management, investment committees, and internal stakeholders on strategic transactions.
Qualifications
Juris Doctor (JD) from an accredited U.S. law school and active U.S. bar membership (New York preferred).
7–10+ years' legal experience supporting private equity and/or real estate transactions.
Strong experience drafting and negotiating real estate transaction documentation, including joint venture agreements, purchase and sale agreements, and financing documentation.
Experience working with investment fund documentation, including private placement memoranda, subscription agreements, and partnership agreements.
Familiarity with U.S. securities and regulatory frameworks relevant to private funds and investment advisers.
Understanding of regulatory considerations including the Investment Advisers Act, Investment Company Act, Regulation D, and related frameworks.
Strong communication, drafting, and stakeholder management skills with the ability to manage multiple transactions simultaneously.
