Associate General Counsel
OverviewA leading asset manager is seeking a Vice President, Associate General Counsel to support its credit funds platform in New York. This role will sit within the legal team and provide broad legal coverage across private credit, structured credit, opportunistic credit, and related investment strategies.This is a strong opportunity for an attorney who understands the legal plumbing behind credit investing and wants to work close to the business, not hide in a document cave pretending redlines are a personality.Key ResponsibilitiesProvide legal support across the firm’s credit funds platform, including private credit, liquid credit, structured credit, opportunistic credit, and other alternative investment strategies.Advise investment, portfolio management, operations, compliance, and investor relations teams on fund, transactional, regulatory, and business matters.Review, negotiate, and advise on investment-related documentation, including credit agreements, loan documents, side letters, NDAs, engagement letters, financing documents, trading documentation, and other fund-related agreements.Support fund formation, fundraising, and investor onboarding processes, including review of offering documents, subscription materials, LPAs, side letters, and investor communications.Partner with internal stakeholders and outside counsel on complex credit transactions, restructurings, amendments, waivers, and portfolio company matters.Advise on regulatory and compliance matters impacting private funds and credit strategies, including SEC-related obligations, conflicts, MNPI, allocation issues, and investor disclosure considerations.Assist with corporate governance, fund governance, board materials, committee processes, and internal policy matters.Provide legal guidance on new products, strategy expansion, investment structures, and cross-border considerations.Manage outside counsel effectively, balancing legal risk, commercial practicality, and cost.Help improve legal processes, documentation standards, and internal workflows as the platform continues to scale.Required QualificationsJ.D. from an accredited law school and active bar admission in good standing.Approximately 5-10+ years of legal experience at a top law firm, asset manager, private credit platform, hedge fund, investment adviser, or financial institution.Strong background in credit funds, private funds, asset management, leveraged finance, direct lending, structured credit, distressed credit, or related investment strategies.Experience reviewing and negotiating credit-related documentation and fund/investor documentation.Strong understanding of private fund structures, investment adviser issues, and the regulatory framework applicable to alternative asset managers.Ability to translate legal risk into practical business advice. Revolutionary concept, apparently.Strong drafting, negotiation, analytical, and communication skills.Comfortable working directly with investment professionals and senior stakeholders in a fast-paced environment.High attention to detail with the judgment to know what matters and what is just lawyer theater.Preferred QualificationsExperience supporting private credit, direct lending, CLOs, BDCs, interval funds, or evergreen/private wealth credit vehicles.Familiarity with SEC investment adviser regulations, Form ADV, marketing rule considerations, conflicts, allocation policies, and private fund compliance matters.Prior in-house experience at an asset manager, hedge fund, private credit firm, or alternative investment platform.Experience with restructurings, workouts, amendments, waivers, and secondary credit trades.Exposure to cross-border credit structures, Luxembourg/Ireland vehicles, Cayman funds, or offshore feeder/master-feeder structures.
