Hybrid Corporate Paralegal

Major, Lindsey & Africa's Interim Legal Talent group is seeking a self-driven Hybrid Corporate Paralegal for a human capital-focused client's legal department. Overview: Our client is seeking a Paralegal to provide corporate governance/entity management and litigation support across its operating companies. This role supports legal matters and legal operations functions within a shared services model and will work closely with attorneys, a senior paralegal, and legal operations colleagues. The ideal candidate is curious, adaptable, business-minded, and energized by the opportunity to learn parent-subsidiary processes and contribute to a high-performing team. This assignment is for an initial 8+ month period, with a goal of permanent placement. The role is anticipated to be full-time, with a minimum of 32 to 40 hours per week and some periods of overtime possible. Company: Workforce Solutions Industry Experience: 3 to 5+ years preferred; exceptional candidates with 2+ years considered Location: Hybrid - Hanover, MD Responsibilities Include: Corporate Governance & Entity Management (Primary) Prepare and maintain corporate records, including articles of incorporation, operating agreements, stock ledgers, resolutions, minutes, consents, and other routine corporate secretarial documents using established templates. Maintain accurate minute books (electronic and/or physical as applicable) and ensure consistency across entity records. Independently manage routine state filings and qualifications for HQ and North American subsidiaries, including coordinating required data inputs and submitting filings for review as needed. Lead annual annual report filing processes across entities qualified in all 50 states—gathering required information, preparing drafts, calendaring deadlines, and ensuring timely submission and record retention. Support governance cycles by coordinating meeting materials logistics, collecting signatures, tracking approvals, and ensuring final execution and storage in the document management system. Perform additional paralegal duties and special projects as assigned, consistent with experience level and evolving department needs. Essential Functions: Prepare basic articles of incorporation, stock ledgers, operating agreements, minutes and other routine corporate secretarial documents using established templates, keep accurate minute books; Prepare and file routine state filings (qualifications) for company and its North American subsidiaries with review by senior team members; Assist with annual report filings for all company entities qualified within the 50 states by gathering information and preparing filings; Conduct basic legal and factual research under the guidance of a supervisor and/or department attorney; Handle information requests to and from other company personnel, including retrieval of legal matters and historical information from company records and information from other departments regarding corporate entities and commercial transactions; compile and organize documents for review by supervising attorneys or senior paralegal; Assist with transmitting documents to outside counsel and company personnel with guidance from supervising attorney or senior paralegal; Assist in the filing, tracking and maintenance of trademarks worldwide and related intellectual property issues by supporting data entry, docketing, and document organization; Assist with intake of litigation and claims by organizing materials, tracking deadlines, and maintaining electronic case files; Assist with drafting and tracking litigation hold notices under supervision; Assist with other backend system functions such as billing/invoicing/vendor issues and timekeeper rate review and reporting by supporting data collection and reconciliation efforts; and Other related paralegal duties and projects as may be assigned from time to time commensurate with experience level. Legal Operations & Process (Support) Support legal operations workflows such as billing/invoicing/vendor administration and timekeeper rate review reporting through data collection, reconciliation, and quality checks. Use legal department systems to maintain organized, searchable matter and entity records and support knowledge management best practices. Contribute to continuous improvement: identify recurring issues, propose process refinements, and help update the team's process documentation/playbook. Provide professional, service-oriented support to internal clients by responding to information requests and translating legal process steps into clear, accessible guidance. Outside Counsel & Stakeholder Coordination Assist with transmitting and receiving documents with outside counsel and internal stakeholders; coordinate routine requests for information and records. Maintain strong working relationships with business partners across functions (e.g., Finance, HR, Tax, Operations) to gather required data for filings and legal matters. Qualifications Include: Education: Associate's degree in paralegal/legal studies, a paralegal certificate, or an equivalent combination of education and relevant coursework/experience. Experience: 3 to 5+ years of relevant paralegal experience (corporate and/or litigation). Candidates with slightly less experience may be considered if they demonstrate strong potential, adaptability, and eagerness to grow. Strong proficiency in Microsoft Office (Outlook, Word, Excel) and comfort working in structured workflows and systems.
