Job Description Capital Markets Mid-Level Associate AttorneyPreferred Locations: Houston, TX or New York, NYCompensation: $310,000 – $390,000 base salary (commensurate with experience) Direct Counsel is seeking a Capital Markets Mid-Level Associate Attorney to join a top-tier national law firm’s Capital Markets and Securities practice .The ideal candidate will have 3–6 years of experience at a large law firm working on public and private debt and equity offerings , as well as Securities Exchange Act of 1934 reporting . Candidates should also have experience advising clients on day-to-day governance matters, including SEC and stock exchange compliance, public company disclosure obligations , and other business and transactional matters.Key Responsibilities Include:Representing issuers and underwriters in IPOs and follow-on public offeringsAdvising public and private companies in PIPE transactions, mergers and acquisitions, SEC reporting, and corporate governance mattersDrafting and negotiating offering documents, disclosure filings, and related securities documentationProviding guidance on SEC compliance, stock exchange rules, and corporate governance mattersQualifications:3–6 years of relevant capital markets and securities experience at a large law firmStrong drafting, analytical, and client communication skillsExcellent academic credentialsAdmission to the state bar of your preferred office location (required)This role offers the opportunity to work on a broad range of sophisticated capital markets transactions and corporate governance matters within a collaborative, national practice.The firm is an equal opportunity employer and encourages applications from candidates of all backgrounds and experiences to apply.
