New York Licensed Assistant General Counsel
Supporting the Sales organization, the full-time New York Licensed Assistant General Counsel will draft, review, and negotiate SaaS agreements and related commercial contracts while advising on privacy, security, and intellectual property issues in a hybrid work environment.
Key Responsibilities
Draft, review, and negotiate various commercial contracts including SaaS agreements, MSAs, and NDAs
Serve as a primary legal partner to Sales and Client Services teams, providing guidance to facilitate deal progress
Lead negotiations with customer legal and business stakeholders for enterprise SaaS transactions
Required Qualifications
J.D. from an accredited law school and active membership in at least one U.S. state bar
Proven experience in drafting and negotiating SaaS and technology service agreements
Experience collaborating with Sales, Revenue, and Customer Success teams on commercial transactions
Strong understanding of key SaaS contract issues, including liability, indemnification, and data protection
Ability to review and negotiate privacy and cybersecurity provisions in commercial agreements
