Corporate Paralegal
Qualifications Advanced knowledge of corporate laws with the ability to perform complex analysis and problem solving High-level of responsibility for all aspects of general corporate work including formations, document drafting, preparation of filings, creation, and maintenance of all client records Draft minutes, board/manager and shareholder/member resolutions, waivers, and private company shareholder/member meeting documents Assist with corporate financings and mergers and acquisitions Manage certain transactions with private financings and corporate acquisitions, including preparation and distribution of key documents and organization of completed closing records Draft all stock/unit purchase and stock/unit option agreements and maintain all plan documentation records Review due diligence materials and prepare due diligence memos Maintain a billing requirement of 100-115 hours per month after the first 90 days in the position.
