Associate - Capital Markets & Securities

BakerHostetler is seeking a mid-level associate (3-5 years of experience) to join its Business Group. The candidate would work with our regional and national clients as a member of the Capital Markets & Securities and Corporate Governance practice team.Qualifications IncludeKnowledge of federal securities laws, rules and regulations and listing standardsExperience working on public primary and secondary securities offerings on Forms S-1, S-3 and S-4, as well as private offerings.Experience preparing and reviewing Forms 8-K, 10-Q and 10-K, registration statements, Section 16 filings, 10b5-1 trading plans, annual proxy statements and other related filingsExperience assisting with maintaining governance policies and practices, including those related to committee charters, corporate governance guidelines and insider trading and preparation of board materials and minutesKnowledge of annual shareholder meeting requirements and mechanicsAbility to provide securities support for or otherwise assist with mergers and acquisitions, strategic investments and other corporate transactionsEffective and detail-oriented writing and oral communication skillsAbility to manage a fast-paced workload while maintaining priorities and anticipating issuesThe professional commitment and interpersonal skills necessary to succeed in a collaborative cross-office team environmentAdmission to practice law in the state where the candidate will resideThis position may be located in Cincinnati, OH; Cleveland, OH; Columbus, OH; or Orlando, FL.The salary offered in any location will be determined by a wide range of factors, including, but not limited to, experience level, education/training, geographic region, and relevant skills.
