SVP, Associate General CounselLocation: Sacramento, CAIndustry: Financial ServicesOverview:A leading financial services company is seeking an experienced legal professional to join its team as SVP, Associate General Counsel. This individual will play a key role advising on complex structured finance and capital markets transactions, with a particular emphasis on mortgage securitizations and asset-backed securities. The position offers the opportunity to partner closely with senior leadership and core business units on high-impact transactional work.Key Responsibilities:Provide legal counsel on structured finance and capital markets transactions, with a strong focus on mortgage-backed and asset-backed securitizationsAdvise on the structuring and execution of securitization transactions, including issuance of mortgage-backed securities (MBS) and related productsDraft, review, and negotiate transaction documentation such as pooling & servicing agreements, indentures, offering documents, and trust agreementsPartner with treasury, capital markets, and finance teams to structure transactions and mitigate legal and regulatory riskProvide guidance on regulatory frameworks impacting securitized products and capital markets activityManage external counsel and oversee due diligence for complex securitization transactionsSupport senior leadership with strategic legal advice on financing initiatives, capital markets strategy, and business growthQualifications:J.D. from an accredited law school and active bar membershipMinimum 5+ years of legal experience focused on structured finance, securitization, and/or capital markets transactionsStrong experience with mortgage-backed securities and securitization structures (RMBS, ABS, or similar)Deep understanding of legal and regulatory considerations impacting structured finance productsExperience in a law firm and/or in-house at a financial institution, mortgage company, or fintech platformPreferred Background:Experience advising on complex securitization programs or large-scale capital markets issuancesFamiliarity with secondary market transactions and investor-facing structuresAbility to work cross-functionally in a fast-paced, deal-driven environment
