General Counsel Our client, a growing crypto fund, is seeking a GC to serve as the firms legal head. This individual will own legal execution and strategy across investments, fund structures, and regulatory matters, working closely with the investment team and CFO. This is a hands-on, operator role focused on enabling high-quality deal execution in a fast-moving, crypto-native environment.This a remote role….Core ResponsibilitiesLead legal structuring, deal documentation, and legal diligence across all investmentsLead legal aspects of fund formation, closings, amendments, governing documents, and investor-specific side lettersOwn quality, consistency, and timelines of all legal workstreams across investments and funds in close coordination with CFO and external counselOwn interpretation and application of evolving legal and regulatory frameworks (SEC, CFTC, FinCEN, global regimes), particularly as they relate to crypto and digital assetsSupport CFO in ensuring firm and fund compliance with applicable laws and exemptions across relevant jurisdictionsCoordinate closely with CFO on structuring and tax considerationsSupport the investment team on legal and regulatory diligence, including evaluating founder claims and underwriting regulatory risk in crypto-native dealsIdentify regulatory gaps and risks in prospective and existing investments and develop mitigation strategiesAdvise portfolio companies on complex legal, regulatory, governance, financing, and structuring mattersLead legal strategy on disputes, restructurings, and special situationsDevelop and maintain standard legal templates, terms, and precedent across investments and fundsCandidate Profile7–10 years of legal experience Background may include law firm, in-house, or a combination; big law is not requiredStrong experience in venture transactions, private markets, fund formation, or adjacent areas is requiredDemonstrated interest in crypto is required; prior experience in digital assets, fintech, or related sectors is strongly preferredFamiliarity with regulatory frameworks relevant to financial services and/or crypto (SEC, CFTC, FinCEN, or global equivalents)Experience working on complex, non-standard transactions or emerging regulatory areas is a plus
