You'll be trusted as a key advisor, not just a supporting lawyer.About the Role:In this role, you will serve as lead counsel on a wide range of corporate transactions, guiding clients through the full lifecycle of mergers, acquisitions, divestitures, financings, and restructurings. You will manage deal teams, coordinate cross-functional workstreams, and ensure that all matters are executed efficiently and to a high standard. Your work will directly shape clients' strategic outcomes and long-term business structures.Key Responsibilities:Lead and manage mergers, acquisitions, divestitures, and related corporate transactions from initial structuring through closing and post-closing integration.Draft, review, and negotiate sophisticated commercial contracts, transaction documents, and ancillary agreements.Advise clients on entity selection, formation, corporate governance, and general corporate matters across a range of industries.Structure, document, and execute debt and equity offerings, including private placements and other financing transactions.Oversee restructurings and reorganizations, providing strategic legal guidance aligned with clients' business objectives.Supervise and mentor junior attorneys and support staff, delegating work effectively and ensuring quality and timeliness of deliverables.Coordinate with internal and external stakeholders, including tax, finance, and regulatory advisors, to manage complex, multi-party transactions.Serve as primary point of contact for clients on assigned matters, managing expectations, timelines, and communication throughout each engagement.Key Requirements:8+ years of post-qualification experience in corporate law within a law firm or equivalent transactional practice.Demonstrated experience leading mergers, acquisitions, divestitures, and other significant corporate transactions.Proven track record handling debt and equity offerings, restructurings, and general corporate advisory work.Exceptional drafting and negotiation skills, with the ability to handle complex, high-value contracts and transaction documents.Strong client-facing skills, with experience managing direct client relationships and providing practical, business-focused advice.Ability to lead and coordinate teams on multiple simultaneous matters while maintaining high attention to detail.Strong work ethic, self-motivation, and comfort operating with a high degree of autonomy and responsibility.Commitment to delivering responsive, high-quality service and meeting demanding deadlines.Desirable Skills:Experience working on cross-border transactions or international deal structures.Familiarity with private equity, venture capital, or growth equity transactions.Exposure to industry-specific regulatory issues relevant to corporate transactions.Prior experience developing or expanding client relationships and contributing to business development initiatives.Qualifications:Juris Doctor (J.D.) from an accredited law school.Admission to practice and good standing with the relevant state bar (or eligibility for admission).Strong academic record with evidence of high performance and analytical capability.Additional transactional or corporate law certifications or coursework preferred but not required.If you are a seasoned corporate attorney seeking greater autonomy, significant client responsibility, and the chance to lead complex transactions, we encourage you to apply.
