This role offers the opportunity to work within a market-leading Capital Markets practice, advising issuers, private equity investors, and investment banks on sophisticated domestic and cross-border transactions.The ideal candidate has capital markets experience with a focus on late-stage private company representation and thrives in a collaborative, fast-paced environment handling innovative and high-profile transactions.ResponsibilitiesAdvise clients on capital markets transactions and securities offeringsRepresent late-stage private companies, issuers, investors, and investment banksAssist with equity and debt offerings, public company matters, and strategic transactionsDraft and review offering documents, SEC filings, and transaction agreementsProvide guidance on securities laws, disclosure obligations, and regulatory complianceCollaborate with clients and internal teams on complex domestic and cross-border mattersQualificationsJ.D. from an accredited U.S. law school2–6 years of capital markets experienceExperience representing late-stage private companies preferredStrong knowledge of securities laws and capital markets transactionsExcellent writing, analytical, and communication skillsStrong academic credentialsAdmission to the California Bar (in good standing) preferredCompensation & BenefitsCompetitive salary ($225,000 – $435,000) plus discretionary bonus potential.
