Corporate Development Manager
Job DescriptionThe Corporate Development Senior Associate will play a key role in supporting all aspects of Kiteworks’ M&A process, including strategy development, market analysis, sourcing, valuation, due diligence, transaction execution, and post-closing value creation.This role requires strong analytical and financial skills, exceptional attention to detail, and the ability to communicate effectively with founders, advisors, and senior executives. The ideal candidate is organized, proactive, and thrives in a fast-paced environment with high ownership and accountability.This position reports to the Senior Manager of Corporate Development and sits within the broader Corporate & Business Development team. This is a hybrid role based in San Mateo, CA, with an expectation of working in the office at least three days per week and occasional travel to meet with acquisition targets.This is an excellent opportunity to take on a high-impact role in a fast-growing, profitable technology company that protects sensitive data and enables privacy and compliance for leading global organizations. You will gain exposure across the full M&A lifecycle while helping shape the company’s long-term growth strategy.What You'll DoResearch and identify acquisition opportunities to support Kiteworks’ inorganic growth strategy, including market mapping across geographies and technology segmentsConduct initial screening of potential targets to assess strategic and financial fitBuild and maintain detailed financial models and analyses for prospective acquisitionsOwn virtual data room (VDR) review and analysis, identifying key risks, insights, and value driversManage due diligence workstreams, coordinating with internal teams (finance, legal, product, security, IT, go-to-market) and external advisorsLead diligence discussions with target company management and review key operational and financial materialsSupport negotiation and review of transaction documents including term sheets and purchase agreementsPrepare high-quality written reports, investment memoranda, and executive presentations for leadership and the Board of DirectorsPresent insights and updates to senior leadership including the CEO and executive teamTrack relevant market developments including competitive activity, fundraising, and investment trendsSupport development of the company’s long-term M&A and inorganic growth strategyImprove corporate development processes and pipeline management, including evaluating AI-enabled tools to enhance productivity and deal executionProtect confidential business information and partner data, ensuring secure sharing practices and compliance with data protection agreements and ISO 27001 controls. What You'll BringBachelor’s degree (finance, accounting, economics, or technical field preferred)6+ years of experience in M&A, investment banking, private equity, venture capital, corporate development, transaction advisory, or consulting with significant deal exposureProven experience supporting transactions across sourcing, diligence, negotiation, and closingStrong analytical and financial modeling skills with advanced Microsoft Excel expertiseAbility to synthesize large volumes of diligence materials and identify key insightsExcellent written and verbal communication skills with the ability to present to senior executivesExperience coordinating cross-functional teams without formal authorityHighly organized, self-motivated, and comfortable operating in a fast-paced environmentPreferred QualificationsExperience in the software or SaaS industryFamiliarity with cybersecurity, privacy, compliance, or other highly technical software domainsExperience building or working with AI agents or AI-driven workflowsThe Values That Define UsExecution – We deliver results with focus, ownership, and consistency. Compensation RangeAnnual Base Salary Range: $140,000 – $175,000Base pay depends on many factors, such as location, education, experience, and skills. Base pay is only one part of Kiteworks competitive Total Rewards package that can include benefits, perks, equity, and bonuses.
