Role SummaryWe are seeking a highly analytical and business-oriented Securities Attorney (5–6 years PQE) to join our in-house legal team. In this role, you will act as the primary legal and regulatory advisor for our AI initiatives, private fund formations, and digital infrastructure transactions. You will partner directly with investment professionals, data center developers, and technology architects to execute deals and govern our AI governance framework.Key ResponsibilitiesSecurities & Private FundsStructure and draft private placement memoranda (PPMs), limited partnership agreements (LPAs), and related documentation for new investment funds and co-investment vehicles.Advise on SEC, FINRA, and state-level regulatory compliance, including the Investment Advisers Act of 1940 and the Investment Company Act of 1940.Review and negotiate side letters, subscription agreements, and ongoing compliance requirements for institutional investors.AI & Emerging TechnologyPartner with technology and business leaders to structure AI model training data, vendor contracts, and intellectual property (IP) safeguards.Advise on the legal and regulatory risks associated with algorithmic trading, data privacy, and agentic AI deployed across the firm's platforms.Support the ongoing refinement of the firm's AI governance and risk-management frameworks. [1]Digital Infrastructure & TransactionsSupport senior counsel in executing complex project financings, acquisitions, and joint ventures related to hyperscale data centers and digital infrastructure.Draft and negotiate transaction documents, vendor agreements, and data center service-level agreements (SLAs). [1]QualificationsExperience: 5 to 6 years of top-tier law firm and/or in-house legal experience specializing in corporate securities, private funds, or digital infrastructure/emerging technologies.Education: Juris Doctor (JD) degree from an ABA-accredited law school with excellent academic credentials.Bar Admission: Active and in good standing with the New York State Bar (or eligible to waive in).
