Located in the Galleria area of Houston, Texas, the organization operates in a fast-paced and highly collaborative environment with significant international business activity and executive-level exposure.ABOUT THE ROLEOur Client is seeking an experienced Corporate Paralegal to support the CFO and Director of Finance with corporate governance, legal administration, compliance coordination, and corporate recordkeeping functions. This individual will play a critical role in maintaining and improving corporate governance processes, supporting executive leadership, and assisting with legal and compliance matters related to international business operations.The ideal candidate will be a highly organized and proactive professional with strong corporate secretarial experience who can operate independently with minimal day-to-day supervision.RESPONSIBILITIESAssist with preparation, organization, and filing support for SEC-related documents and corporate filingsPrepare, maintain, and organize management meeting minutes, board documentation, and corporate governance recordsCoordinate proxy-related materials and corporate communicationsMaintain and improve corporate recordkeeping processes and documentation standardsSupport compliance initiatives and maintain legal and regulatory documentationMaintain entity records and support corporate governance activities across multiple jurisdictionsCoordinate with outside counsel, executive leadership, and cross-functional departments as neededTrack deadlines, filings, renewals, and compliance requirementsOrganize and maintain highly confidential legal and corporate recordsProvide executive-level legal and administrative support to the CFO and Director of FinanceQUALIFICATIONSParalegal certificate requiredMinimum of 10 years of corporate paralegal or legal assistant experienceStrong experience with corporate governance, board minutes, and corporate secretarial responsibilitiesExperience supporting SEC filings, proxy-related matters, and compliance functionsExperience supporting international business transactions preferred (especially Middle East and North Africa)Ability to work independently and improve processes with minimal supervisionStrong organizational skills and exceptional attention to detailExcellent written and verbal communication skillsAbility to handle confidential information with professionalism and discretionProficiency with Microsoft Office and legal document management systemsComfort using or learning new corporate governance and compliance tools such Nasdaq Boardvantage and Optro AuditBoardArabic language proficiency is not required; however, the ability to read and speak Arabic would differentiate otherwise qualified candidatesSALARY RANGE$85,000 to $92,000 annually, depending on experience
