Temporary Corporate Transactional Paralegal (Remote)Employment Type: Temporary Location: Chicago office or Remote (Central or Eastern Time preferred) Start: ASAP Pay: $30–$50/hour (W‑2), commensurate with experienceAbout the OpportunityA growing Illinois‑based law firm is seeking a Corporate Transactional Paralegal to step in quickly and support overflow work. You’ll partner with three paralegals and multiple attorneys on corporate governance and M&A matters. This role requires someone who is proactive, highly organized, and comfortable operating independently in a fast‑paced, deal‑driven environment.Key ResponsibilitiesCorporate GovernanceMaintain minute books, prepare resolutions/consents, manage annual reports, track filing calendars, and ensure compliance across jurisdictions (e.g., IL/DE)M&A SupportManage diligence, coordinate signature pages, compile closing sets, and handle post‑closing tasksEntity ManagementAssist with formations, amendments, qualifications, dissolutions, and IRS/state filingsOrder good standing certificates and certified documentsUCC & FinancingPrepare/file UCC‑1 and UCC‑3 statementsCoordinate lien, tax, and litigation searchesDocument & Matter ManagementManage data rooms, track document versions, and maintain organized matter filesTeam CollaborationSupport three paralegals by absorbing overflow, triaging requests, and proactively offering helpTimekeepingMaintain accurate daily billable time entriesQualifications5+ years of corporate paralegal experience in a law‑firm environmentStrong background in M&A and corporate governanceAbility to work independently with minimal supervisionExcellent communication, organization, and follow‑throughProficiency in MS Office and common legal software; experience with Carta and CTA filings is a bonusHigh attention to detail and commitment to clean, timely documentationSchedule & Work EnvironmentFully remote or hybrid in Chicago, depending on locationCollaboration across time zones, with preference for Central/Eastern hoursWorkload may fluctuate with deal cyclesCompensation & BenefitsHourly Rate (W‑2): $30–$50/hour, depending on experience and assignment scopeBenefit offerings include medical, dental, vision, life insurance, short-term disability, additional voluntary benefits, EAP program, commuter benefits, and 401K plan.
