Senior Corporate Counsel

Senior Corporate Counsel The Corporate Counsel will provide legal guidance and strategic support across a broad range of areas impacting the organization's Property & Casualty (P&C) insurance operations. This role partners closely with business leaders to manage legal risk, ensure regulatory compliance, and support growth initiatives while maintaining alignment with applicable laws and industry standards.Key Responsibilities:Legal Advisory & Business SupportServe as a trusted legal advisor to business units, including underwriting, claims, finance, and operations.Provide practical, risk-based legal guidance on commercial, operational, and strategic initiatives.Support product development and distribution strategies, including new insurance offerings and partnerships.Regulatory & ComplianceEnsure compliance with federal and state insurance laws and regulations, including filings, licensing, and market conduct.Monitor and interpret changes in insurance regulations and advise stakeholders on impacts.Collaborate with compliance and risk management teams to develop and maintain policies and procedures.Contracting & TransactionsDraft, review, and negotiate a variety of agreements, including:Vendor and service contractsDistribution and agency agreementsReinsurance agreementsTechnology and data-related contractsProvide legal support for mergers, acquisitions, and strategic partnerships.Claims & Litigation ManagementAdvise on complex claims matters and coverage disputes.Manage outside counsel and oversee litigation strategy and budgets.Support internal investigations and dispute resolution efforts.Corporate GovernanceAssist with corporate governance matters, including board materials, resolutions, and entity management.Ensure proper documentation and compliance with corporate policies and procedures.Risk ManagementIdentify and assess legal risks across the enterprise and develop mitigation strategies.Support enterprise risk management initiatives and internal audit processes.Qualifications: Juris Doctor (JD) from an accredited law school5+ years of experience in corporate law ideally with experience in the insurance industryExcellent contract drafting and negotiation skills.Strong business judgment with the ability to balance legal risk and commercial objectives.Effective communication and stakeholder management skills.Ability to manage multiple priorities in a fast-paced environment.
