Senior M&A ParalegalSan Francisco, New York, Santa Monica, Palo Alto, Washington DC, Colorado and San DiegoSummaryM&A Paralegals support Firm attorneys who regularly represent clients in mergers and acquisitions and other complex corporate transactions, including domestic and cross-border mergers and acquisitions, strategic investments, joint ventures, and spin-offs. Specific duties include, but are not limited to, the following: ResponsibilitiesResearch, collect, index and distribute historical and other transaction related documentation relating to target or acquiring entity as well as precedent transaction materialsObtain transaction specific information from client team and work closely with client team in gathering information as required throughout the transaction processConduct on-going research relating to current M&A trends and practicesManage due diligence and conduct due diligence reviews as appropriateManage data roomsFacilitate open lines of communications with opposing counsel and other outside advisorsDraft Key Document Checklists and transaction related documentsForm merger subsidiariesPrepare/Review capitalization and conversion tablesManage signature collection processCoordinate distribution of executed documentsAssist in preparation of Registration StatementsDraft and file transaction related SEC documentsComply with notice and other communication requirements of any stock exchangePrepare transaction booksAttend to any post closing tasksWork with client team on post closing and integration mattersAssist with conflicts check and conflicts waiver processPrepare transaction working group listsMaintain close working relationship with client team throughout transaction processAssist with organization and maintenance of M&A library materialsAssist with organization and circulation of M&A newsletterMaintain and circulate M&A Activity ReportAttend to or assist with any other M&A transaction or group related taskOther tasks as assignedSkills & ExperienceAvailable to work overtime, as requiredAfter orientation at the Firm, exhibit proficiency in the Microsoft Office suite, iManage and other firm applications5+ years of substantive work experience as a M&A paralegal.Bachelor's DegreeCompetenciesExcellent oral communication and organizational skillsAbility to work well under pressureAbility to work well with othersProven ability to take initiative and, as needed, direct projects autonomouslyMust be able to manage multiple projects while maintaining high quality and excellent client serviceThe expected annual pay range for this position with a work schedule of 40 hours per week is $104,000.00-$166,400.00 annually, plus overtime and bonus.
