Senior Counsel Project Finance

Pye Legal Group has been engaged by a leading LNG project developer to recruit a Senior Counsel to support the financing, development, and commercial execution of a portfolio of LNG terminal projects.This position will serve as a key legal advisor to executive leadership and play a central role in advancing projects from development-stage through financial close and into execution. The Senior Counsel will provide strategic legal support across complex project finance transactions, commercial agreements, corporate transactions, and regulatory matters associated with large-scale energy infrastructure developments.Responsibilities include:Providing legal support across all aspects of project finance transactions, including structuring, negotiating, and closing sophisticated debt and equity financing arrangements for large-scale LNG and energy infrastructure projects.Mergers, acquisitions, divestitures, joint ventures, and strategic investments from initial due diligence through transaction execution and post-closing governance.Assist in negotiating and managing a broad range of commercial agreements, including LNG sale and purchase agreements (SPAs), EPC agreements, partnership and joint venture agreements, and other critical project development and operational contracts.Develop contract templates for standard and high-risk commercial arrangements.The ideal candidate will possess strong legal and commercial acumen, exceptional drafting and negotiation skills, and the ability to manage multiple sophisticated transactions simultaneously in a fast-paced environment. Success in this role requires a collaborative mindset, sound business judgment, and the ability to work effectively with multidisciplinary teams and senior leadership.Successful candidates will have a J.D. from an accredited law school, active admission to practice law in at least one U.S. jurisdiction, and a minimum of 6 years of legal experience with substantial focus on project finance transactions in the energy industry.
