Cytokinetics is seeking an experiencedCounsel, Corporate Securities & Governanceto support public company SEC compliance, corporate governance, Board of Directors administration and strategic financial transactions. This role will serve as a key legal partner to Finance, Investor Relations, and Executive Leadership, ensuring compliance with U.S. securities laws and supporting capital markets activities. This position will report to the SVP, Deputy General Counsel and Corporate Secretary.Key ResponsibilitiesPrepare SEC filings, including Exchange Act reporting (Forms 10-K, 10-Q, 8-K), proxy statements, and Section 16 filingsAdvise on disclosure controls and procedures, earnings releases, investor presentations, and investor communicationsSupport capital markets transactions, including equity offerings, debt financings, and other programsAdvise on corporate governance matters, including Board and committee support, charter documents, and corporate policiesPartner closely with Finance, Accounting, Investor Relations, HR, and external counsel to ensure accurate and timely disclosuresMonitor and advise on developments in securities law, SEC rules, and governance best practicesSupport insider trading compliance, equity compensation matters, and Rule 10b5-1 plansAssist with ESG disclosures and related governance initiatives, as applicableQualificationsJ.D. from an accredited law school; active bar membership in at least one U.S. jurisdiction6+ years of relevant Corporate Securities experience, including public company securities workExperience at a leading law firm and/or in-house at a publicly traded company; life sciences or biotech experience strongly preferredDeep knowledge of U.S. securities laws, SEC reporting requirements, and corporate governanceExperience supporting capital markets transactions and interacting with senior executives and boardsStrong drafting, analytical, and communication skillsAbility to manage multiple priorities with a high degree of accuracy and judgmentPay Range In the U.S., the hiring pay range for fully qualified candidates is $256,500-$299,250 per year. The base pay actually offered will take into account internal equity and also may vary depending on the candidate's geographic region, job-related knowledge, skills, and experience among other factors.Our employees come from different backgrounds, and we celebrate those differences.
