The best run DevOps teams in the world choose Perforce. Position Summary: Our Senior Manager, Commercial Transactions is searching for a Contracts Administrator to join his five-person, highly collaborative commercial transactions team. We need someone who thrives in a fast-paced, quick turnaround work environment and is able to juggle and prioritize a large and rapid volume of requests for legal support. Under the supervision of the Senior Manager, Commercial Contracts, the Contracts Administrator will both manage critical core processes for the commercial legal team and draft, redline, negotiate, and process various routine legal agreements such as NDAs and quotes. This role requires (1) the ability to stay cool under pressure, (2) the ability to politely but effectively manage and enforce the transactional team's policies, procedures and processes, (3) transactional administration savvy and know how, and (4) basic knowledge of Software and SaaS offerings.Responsibilities:Help establish, edit, maintain, enforce, and promulgate policies, processes, and procedures to ensure efficient administration of the transactional team's work product. Take a lead role both in ensuring that the legal team's transactional policies, processes and procedures are followed - both by the legal team and by our internal customers - as well as ensuring that those policies, procedures and processes stay apace of business needs as Perforce and the legal team continue to grow and evolveProvide front line drafting, reviewing, redlining and negotiation services for routine requests for legal support, such as NDAs, processing of quotes, marketing agreements and others, with an attorney on the team available for support and escalation. Efficiently and routinely fulfill basic administrative duties, such as pulling files, orchestrating signatures, maintaining our critical filing system/database for executed and draft documents, and ensuring that documents added to that system/database are properly named. Participate in and contribute meaningful impact on special projects around transformational process improvements, development/refinement of policies, and technology accelerators within the legal department. Requirements:Undergraduate or higher-level degree required. 3-10 years' experience as a contract administrator, preferably in an an in-house, corporate technology setting. Administrative experience in ensuring that process flows are managed and policies are well maintained, up to date, and enforced, including policies/processes around sales and other internal customers requesting support from the legal team, legal team referrals/escalations to other stakeholders, and the signature process for executing agreements. Requisite knowledge and experience to provide front line reviews/redlines/negotiations of NDAs, quotes containing provisions, amendments and addendums, marketing agreements and other more routine agreements, with escalation/support from attorneys on the team when needed. Extremely well-organized and able to ensure that critical documents are controlled in our files and database by following naming conventions and other policies. Ability to juggle a large volume of requests/assignments and manage priorities in a rapid turn-around environment. Ability to efficiently ensure that routine administrative duties are efficiently fulfilled on a daily basis. Ability to be collaborative and share knowledge with the transactions team, including the ability to ask for help and guidance when needed. Our team learns and grows together.
